Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Digital Med Experts website and services operated by Digital Med Experts.

1. Agreement to Terms

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access our services.

2. Description of Services

Digital Med Experts provides digital marketing services including but not limited to:

• Search Engine Optimization (SEO)
• Protocol Management
• Security Clearance
• Database Management
• Bing Ads Management and Assistance

The specific services to be provided will be detailed in a separate service agreement or statement of work.

3. Fees and Payment

Clients agree to pay all fees specified in their service agreement. Unless otherwise specified:

• All fees are quoted in US dollars
• Payment terms are net 30 days from invoice date
• Late payments may incur a late fee of 1.5% per month
• Client is responsible for all taxes, except those based on our income

4. Intellectual Property Rights

The content on our website, including text, graphics, logos, images, and software, is the property of Digital Med Experts and is protected by copyright and trademark laws.

Upon full payment, clients will own all deliverables created specifically for them, except for:

• Pre-existing materials owned by Digital Med Experts
• Our proprietary tools, processes, and methods
• Third-party materials which will be subject to their respective licenses

5. Limitation of Liability

Digital Med Experts shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use our services.

Our total liability for any claims under these Terms shall not exceed the amounts paid by you to Digital Med Experts for the applicable services during the six (6) month period preceding the claim.

6. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party during the course of the services. This includes, but is not limited to, business strategies, customer lists, financial information, and proprietary methodologies.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

9. Indemnification

You agree to defend, indemnify, and hold harmless Digital Med Experts and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the services.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
